These Terms of Use ("Terms") govern your access to and use of the website located at valinity.io and any related interfaces, applications, tools, and services (collectively, the "Services") provided by VALINITY ("VALINITY," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Risk warning. Digital assets and decentralized finance involve significant risk, including the total loss of funds due to market volatility, smart-contract vulnerabilities, and irreversible transactions. Nothing on the Services is financial, investment, legal, or tax advice. Only use assets you can afford to lose.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. You represent that you are not located in, and are not a resident of, any jurisdiction where accessing or using the Services is prohibited, and that you are not subject to sanctions or listed on any restricted-party list.

2. Nature of the Services

VALINITY provides a non-custodial interface that enables users to interact with public blockchain networks and third-party smart contracts. We do not take custody of, control, or have access to your funds, private keys, or wallet at any time. All transactions are initiated and signed by you through your own self-custodied wallet and are executed on decentralized networks that we do not operate or control.

3. No Financial Advice

The Services, including any data, charts, market information, or analytics displayed, are provided for informational purposes only. VALINITY is not a broker, dealer, financial institution, exchange, or fiduciary. We do not recommend or endorse any digital asset, transaction, or strategy. You are solely responsible for your own decisions.

4. Third-Party Content and Services

The Services may display or integrate third-party content, including market data and charts supplied by third-party providers, as well as links to third-party wallets, protocols, and websites. Such content is provided by its respective owners, and VALINITY does not guarantee its accuracy, completeness, or timeliness. Your use of any third-party service is subject to that party's own terms and policies, and VALINITY is not responsible for third-party products, content, or conduct.

5. User Responsibilities

You are solely responsible for securing your wallet, private keys, and seed phrases;
You are responsible for verifying all transaction details before signing;
You are responsible for complying with all laws and tax obligations applicable to you;
You accept that blockchain transactions are irreversible and that VALINITY cannot recover, reverse, or cancel them.

6. Prohibited Conduct

You agree not to use the Services to: (a) violate any applicable law or regulation; (b) engage in money laundering, terrorist financing, fraud, or other illicit activity; (c) infringe the rights of others; (d) introduce malicious code or attempt to disrupt, compromise, or gain unauthorized access to the Services or related systems; or (e) circumvent any access restrictions or geographic limitations.

7. Intellectual Property

Unless otherwise stated, the Services and all associated content, branding, and design are owned by or licensed to VALINITY and are protected by intellectual-property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent, except as permitted by these Terms.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that any data displayed will be accurate.

9. Limitation of Liability

To the maximum extent permitted by applicable law, VALINITY and its affiliates, officers, and contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, funds, data, or digital assets, arising out of or relating to your use of, or inability to use, the Services — even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless VALINITY and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party.

11. Modifications and Availability

We may modify, suspend, or discontinue any part of the Services at any time without notice. We may also update these Terms from time to time; the updated version will be indicated by the "Last updated" date above, and your continued use of the Services constitutes acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Colombia, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of Colombia, unless otherwise required by mandatory applicable law.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
